Attorney Michael P. Barry

Michael has fifteen years of experience in complex business transactions and estate planning. He routinely advises businesses and owners on protecting their business and personal wealth. Michael is dedicated to helping his clients understand their legal options and make informed yet practical decisions.

Over his career, Michael has represented companies in numerous industries including aviation, government contracting, manufacturing and software development. He routinely assists them on a wide array of matters, including formation, private equity fund raising and exit strategies. Michael has also assisted executives and employees on complex compensation matters such as restricted stock agreements or other equity awards. Michael has a master of laws in taxation (LL.M.) which helps him to advise his clients on tax matters that frequently arise in business transactions.

Michael also works with his clients to create estate plans that protect family wealth, particularly for young beneficiaries. Often, these clients are business owners or entrepreneurs with complex business holdings and diversified personal wealth.

Michael is a native of Tucson, Arizona and a life long loyal fan of University of Arizona basketball. In his spare time, he enjoys mountain biking Colorado trails with his wife (a professional runner). Michael is the proud father of two children. He also enjoys skiing, SCUBA Diving and swimming.

Representative Corporate Experience:

  • Represented a Colorado home hospice company in a multi-million dollar sale of the business to a publicly traded industry purchaser;
  • Represented complex financial services business in all aspects of startup and $4 million dollars of first round angel investor private equity funding;
  • Represented a product manufacturer in the renegotiation of multi-million dollar loan documents and related forbearance agreements;
  • Assisted in representing privately held government contract company in acquisition and financing of ten aircraft and an airfield;
  • Represented software technology company in multiple rounds of private equity funding from international investors for a total of $7 million dollars in funding;
  • Represented a product manufacturer in the multi-million dollar sale of the business to a strategic buyer;
  • Represented key employee in the negotiation and analysis of tax consequences of a multimillion dollar restricted stock purchase agreement;
  • Assisted in representing a defense contractor in $50 million-dollar sale of its primary business to an industry purchaser;
  • Represented a private lender in a successful renegotiation of seller carry back loan documents from the sale of his business;

  • Represented estate in complex administration of $5 million in various assets;
  • Represented client in creation of Charitable Remainder Unitrust where the remainder beneficiary, a private University, received a $3 million endowment;
  • Routinely represented clients in preparation of Revocable Living Trusts or Wills;
  • Represented a German citizen in tax and estate planning for US owned assets;
  • Routinely represented clients in probate matters and estate administration.
